LICENSE STATEMENT LIMITED WARRANTY
IMPORTANT READ CAREFULLY BEFORE DOWNLOADING THIS SOFTWARE

BY DOWNLOADING THIS SOFTWARE YOU ARE ACKNOWLEDGING THAT YOU HAVE READ THIS LICENSE AND LIMITED WARRANTY, UNDERSTAND THEM AND AGREE TO BE BOUND BY THEIR TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND PAYESOFT INC (PAYESOFT INC) WHICH SUPERCEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND PAYESOFT INC OR PAYESOFT INC 'S AGENT(S) RELATING TO THE LICENSED SOFTWARE.

This is a legal agreement between you the user (either an individual or an entity) and PAYEsoft Inc. By downloading this software, you are agreeing to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, do not download this software.
In order to preserve and protect its rights under applicable laws, PAYEsoft Inc does not sell or grant any title to this software. Rather PAYEsoft Inc grants the right to use this software by means of a software license.
This software is protected by International copyright treaty provisions. Therefore, you must treat the licensed software like any other copyrighted material (e.g. a book or musical recording) except that you may either a) make 1 copy of the licensed software for archival/backup purposes or b) transfer the licensed software to a single hard disk, provided you keep the original solely for backup or archival purposes. You may not modify, adapt, translate, reverse engineer, decompile, disassemble or create derivative works based on this software, or modify, adapt, translate, or create derivative works based on the written materials.

PAYEsoft Inc specifically disclaims all other warranties, express or implied, including but not limited to, any implied warranty of satisfactory quality or fitness for a particular purpose. Specifically PAYEsoft Inc makes no representation or warranty that the software is fit for any particular purpose and any limited warranty covering of satisfactory quality is limited to 60 day duration of the limited warranty covering the physical CD(s) and any physical documentation only (and not the software) and is otherwise expressly and specifically disclaimed. PAYEsoft Inc 's entire liability and exclusive remedy shall be, at PAYEsoft Inc 's option either a) Return of the price paid b) Repair or replacement of the licensed software that does not meet PAYEsoft Inc 's warranty.
PAYEsoft Inc 's liability for breach of this limited warranty shall be limited to the higher of the price paid and the documentation and shall not include or extend to any claim for or right to recover any other damages, including but not limited to loss of profit, data, or use of the software, or special, incidental, or consequential damages or other similar claims, even if PAYEsoft Inc has been specifically advised of the possibility of such damages. In no event will PAYEsoft Inc 's liability for damages to you or to any other person exceed the higher of price paid.
This license statement shall be construed, interpreted and governed by the laws of The United States Of America. If any provision of this statement is found to be void or unenforceable, it will not affect the validity of the balance of the statement, which shall remain valid and enforceable according to its terms. If any remedy provided is determined to have failed of its essential purpose, all limitations of liability and exclusions set forth in the limited warranty shall remain in full force and effect. All rights not specifically granted in this statement are reserved by PAYEsoft Inc.
